Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of Backprompter (the “Service”), operated by Planosophy LLC (“Planosophy,” “we,” “us,” or “our”), a limited liability company registered in the State of California, United States. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Backprompter is a platform for building, testing, and deploying AI agents. It lets you author agents from system prompts, chat with and evaluate them, manage versions, attach files for retrieval, and deploy hosted chat interfaces or access agents programmatically through our API and SDK. Features may change, be added, or be removed over time.

You agree not to use the Service to:

You are solely responsible for the agents you create, the prompts you submit, and the way you deploy agents to your own end users, including complying with all laws applicable to that deployment.

4. Your Content

“Your Content” means the system prompts, agent configurations, files, messages, and other materials you submit to the Service. You retain all ownership rights in Your Content. You grant Planosophy a limited, non-exclusive license to host, process, and transmit Your Content solely as needed to operate and provide the Service to you. You represent that you have the necessary rights to submit Your Content.

5. AI-Generated Output

The Service uses third-party large language models to generate responses. AI output can be inaccurate, incomplete, or unsuitable for your purpose, and may be similar to output generated for other users. You are responsible for reviewing and validating any output before relying on or distributing it. The Service is not a substitute for professional advice (legal, medical, financial, or otherwise).

6. Third-Party Services

The Service relies on third-party providers, including model routing (OpenRouter), authentication and data storage (Google Firebase), and payment processing (Stripe). Your use of the Service may also be subject to those providers’ terms. We are not responsible for the acts, omissions, or availability of third-party services.

7. Payments & Billing

Paid features are billed as described on our Pricing page or at the point of purchase. Where you connect your own Stripe account to charge your end users, payments flow directly to you; Planosophy does not take a fee on, or take custody of, those funds. Fees are non-refundable except where required by law. You are responsible for any taxes associated with your use of the Service.

8. API & Deployment

API keys and deployed chat interfaces are provided for your use in accordance with these Terms and any documented limits. You are responsible for securing your API keys and for the conduct and content of any end users you grant access to your deployed agents.

9. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Planosophy and protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights in the Service.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANOSOPHY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

12. Indemnification

You agree to indemnify and hold harmless Planosophy from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Content, your deployed agents, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases; sections that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in California, and you consent to their jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes will be communicated where reasonable. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
